General Terms and Conditions for Organisers

The contractual relationships are governed by the law of the Slovak Republic (Art. 2.2) and all references to legislation are to Slovak law.

1. Definitions

1.1 Operator — MACET, s.r.o., with its registered office at Nitrianska 32/189, 949 11 Nitra, Company ID (IČO): 35 953 781, registered in the Commercial Register of the District Court Nitra, Section: Sro, Insert No. 17071/N, e-mail: info@ticketall.eu.

1.2 Organiser — a natural or legal person who arranges and is responsible for holding individual Events and who uses the services of the Portal under a ticket sales intermediation agreement concluded with the Operator.

1.3 Event — a cultural, sporting, social or other event for which Tickets may be purchased through the Portal.

1.4 Portal — the internet portal available at https://ticketall.eu, including the administration interface for Organisers.

1.5 Ticket — an electronic document entitling the holder to enter an Event, containing a unique QR code.

1.6 Intermediation agreement — the framework and implementation agreement on the intermediation of ticket sales concluded between the Operator and the Organiser.


2. Basic provisions

2.1 The Operator and the Organiser conclude a framework intermediation agreement for the purpose of selling and reserving Tickets for Events held by the Organiser. The sale and reservation of Tickets for individual Events are carried out under the conditions set out in the implementation intermediation agreement and in these Terms and Conditions, whereby the implementation intermediation agreement takes precedence.

2.2 The contractual relationships are governed by the law of the Slovak Republic.

2.3 The Operator is entitled to amend or supplement these Terms and Conditions. This is without prejudice to rights and obligations arising during the effectiveness of the previous version.


3. Subject of the cooperation

3.1 The Operator will arrange, for and in the name of the Organiser, the sale of reservations and Tickets through the Portal and the Services for Events held by the Organiser.

3.2 The Operator undertakes to pay out to the Organiser the price of Tickets obtained from sales to third parties, after deducting the Operator's commission and costs.

3.3 The Organiser undertakes to pay the Operator a fee (commission) for its activity and to reimburse further costs incurred, as specified in more detail in the intermediation agreement.


4. Terms of the cooperation

4.1 The Organiser is obliged to register through the form at https://ticketall.eu, where they will obtain access credentials for the administration interface.

4.2 On the basis of the data provided by the Organiser, the Operator undertakes to intermediate reservations and sales of Tickets for the Organiser's Events to Users. The Operator reserves the right to refuse to carry out ticket sales for particular Events.

4.3 The Organiser undertakes to provide the Operator with the necessary cooperation, in particular to supply important information about Events, data and graphic materials.

4.4 The Operator is entitled to collect the Ticket price from third parties in the name and on the account of the Organiser.

4.5 The Operator is entitled to suspend or terminate the provision of its services to the Organiser if the Organiser has breached the terms of the agreement, misled customers, engaged in fraudulent conduct, does not hold the licences or authorisations required to hold the Event, breaches safety or other statutory requirements, or at the Organiser's own request.

4.6 The Organiser is entitled to terminate the contractual relationship with the Operator also without giving a reason; the notice period is set out in the intermediation agreement. The Organiser may stop the advance sale of Tickets for their Events at any time without penalties from the Operator.


5. Specification of the Portal

5.1 Through the Portal it is possible to purchase, or reserve, a Ticket for the Organiser's cultural, social or sporting Events.

5.2 A Ticket is purchased using the payment methods available on the Portal, in particular by payment card through a payment gateway (Stripe, or ComGate). At the Organiser's point of sale (POS), payment in cash or by card is also possible.

5.3 When creating an Event, the Organiser may choose which payment methods will be available for that Event.

5.4 Tickets contain a unique QR code, which serves as a security feature during entry checks.

5.5 The Portal offers Organisers a number of Services, the current scope of which, including financial terms, forms part of the intermediation agreement.

5.6 The Portal displays Organisers' Events in an order determined by an algorithm that takes into account in particular the date of the Event, the number of Tickets sold and — if the User is signed in and has provided their location — their expected or actual current location.


6. Conditions for cancelling and rescheduling Events, programme changes and Ticket cancellation

6.1 If an Event is cancelled, rescheduled to another date or venue, or if there is a significant change to the programme, the Organiser is obliged to inform the Operator of this change without undue delay (no later than within 3 working days, by e-mail). In cooperation with the Organiser, the Operator will promptly inform the affected Users, unless the Organiser has already done so.

6.2 The Organiser is responsible for compensating Users for Tickets sold. The Organiser may entrust the Operator with providing such compensation.

6.3 The Operator refunds admission solely up to the total revenue from Tickets sold, after deducting amounts already paid out to the Organiser. In the event of cancellation, rescheduling or a change to an Event, the Operator is entitled to charge the Organiser a fee of €0.40 for each refunded Ticket, or the amount agreed in the intermediation agreement.


7. Payment terms

7.1 For its activity, the Operator is entitled to a commission from the Ticket price including VAT for each Ticket sold through the Portal and the Services. The amount of the commission is specified in the intermediation agreement. The price of further Services provided by the Operator is added to the commission. The Operator is a VAT payer; VAT at the statutory rate is charged on invoiced amounts.

7.2 The Organiser may request the payout of collected revenue in the Portal administration. A payout request may be submitted after the Event has taken place and at any time thereafter.

7.3 For each month of sales, the Operator will issue accounting documentation — a monthly overview of Tickets sold, revenue and costs, including the Operator's invoice for its Services.

7.4 The Operator transfers the amounts collected from Users, after deducting the commission and costs, to the Organiser's account in accordance with the Organiser's instructions given through the Portal.

7.5 The Operator is entitled to issue a tax document in the name of the Organiser; the details are governed by the intermediation agreement.


8. Protection of Organisers' personal data

8.1 The Operator processes the Organiser's personal data provided at registration, in particular: name/business name, telephone number, e-mail address, billing and contact address, Company ID (IČO)/Tax ID (DIČ) and bank account number. The Organiser's contact details (name, telephone, e-mail) serve as the public contact for Users in the Event detail.

8.2 The Operator uses this data to contact the Organiser in connection with their Events, to send information about new Portal features and to inform Users of the Organiser's contact details.

8.3 The Operator retains data relating to the Organiser's account for 5 years from registration, or for the duration of the Organiser's account.

8.4 The Organiser undertakes to process Users' personal data made available to them by the Operator in accordance with the GDPR and Act No. 18/2018 Coll. on Personal Data Protection (Slovak Republic). In relation to this data, the Organiser acts as the controller and MACET, s.r.o. as the processor.

8.5 The Operator may use further processors, in particular: ComGate, Stripe, Webglobe and Hetzner.


9. Confidential information and confidentiality

9.1 Confidential information means all facts constituting trade secrets relating to the Operator's activity that are not commonly available and that, according to the Operator's will, are to be kept secret.

9.2 The Operator and the Organiser undertake to maintain confidentiality regarding confidential information and not to provide it to any third party without the prior written consent of the other party, nor to use it contrary to the purpose of the intermediation agreement.

9.3 The duty of confidentiality continues after the intermediation agreement ends.

9.4 In the event of a breach of the duty of confidentiality, the parties may agree a contractual penalty in the intermediation agreement. Payment of a contractual penalty is without prejudice to the right to compensation for damage.


10. Final provisions

10.1 Relations not governed by these Terms and Conditions are governed by the law of the Slovak Republic, in particular the Slovak Civil Code (Občiansky zákonník) and the Slovak Commercial Code (Obchodný zákonník).

10.2 If any provision becomes invalid or ineffective, the validity of the remaining provisions remains unaffected.

10.3 The Operator reserves the right to update these Terms and Conditions. The current version is always available on the Portal.

10.4 These Terms and Conditions take effect on 1 January 2026.
